These Terms and Conditions (“Agreement”) govern the provision of services by SynthWeb (“Company”) to the client (“Client”). By engaging SynthWeb’s services, the Client agrees to adhere to this Agreement.

- Collaborate with SynthWeb in a timely manner to facilitate project completion.
4. Fees and Payment Terms
Fees for services will be outlined in the respective SOW. Invoices will be issued upon completion of milestones or as otherwise specified, with payment due within 20 days of receipt. Late payments may incur additional charges.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the project. This obligation extends beyond the termination of this Agreement.
6. Intellectual Property
Upon full payment, SynthWeb assigns to the Client all intellectual property rights related to the work performed, unless otherwise specified in the SOW.
7. Limitation of Liability
SynthWeb’s liability for any claim arising out of this Agreement shall not exceed the total fees paid by the Client. SynthWeb shall not be liable for any indirect or consequential damages.
8. Termination
Either party may terminate this Agreement with 30 days’ written notice. Upon termination, the Client agrees to pay for all services rendered up to the termination date.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Assam, India.
10. Amendments
Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
